1. Introduction

Welcome to Hermo.ai. These Terms of Service ("Terms") govern your access to and use of our website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.

Hermo.ai is operated by a company registered in the United Kingdom. These Terms are governed by the laws of England and Wales.

2. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. Account Registration

To access certain features of our Services, you must create an account. You agree to:

• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised access to your account
• Maintain the security of your account credentials
• Provide accurate and complete information during registration

4. Use of Services

Our Services allow you to connect your email accounts and use AI-powered features to manage and analyse your emails. You agree to use our Services only for lawful purposes and in accordance with these Terms.

You agree not to:

• Reverse engineer, decompile, or disassemble any part of the Services
• Use the Services to send spam or unsolicited communications
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorised access to our systems or networks
• Infringe upon the rights of others
• Violate any applicable laws or regulations
• Use the Services for any illegal or unauthorised purpose

5. Email Access and Data

When you connect your email account (such as Gmail), you authorise us to access and process your email data as necessary to provide our Services. You represent that you have the right to grant us this access and that doing so does not violate any third-party rights or agreements.

You retain ownership of your email data. We process your data in accordance with our Privacy Policy.

The Services may extract and store structured facts from your email to power features such as a personal knowledge base and context-aware assistance. That processing, including profiling where applicable, is described in the Knowledge base and profiling section of our Privacy Policy.

6. Referral Program

We may offer a referral program that lets you invite people who are not yet Hermo users to try the Services. You can invite a friend by email through the in-app referral page or by sharing your personal referral link. Inviting people is optional and is governed by the rules in this section.

Eligibility. You must have a registered, active Hermo account to participate. The person you invite (the "Referred Friend") must (i) not already have a Hermo account, (ii) sign up for their own separate Hermo account through your invite link, and (iii) create and complete three (3) of their own to-do items in their account before the reward triggers. Auto-extracted items (for example, to-dos that Hermo proposes from emails) do not count towards the three required items.

Your reward. For each qualified Referred Friend, you receive one (1) month of free service. If your account is still within a free trial, the reward is applied as an additional thirty (30) days added to your trial end date. If your account is on a paid Stripe subscription, the reward is applied as a 100% discount on your next monthly invoice via a Stripe coupon. You can earn a maximum of twelve (12) rewards per account.

Invite expiry. A referral invite that has not led to a qualifying sign-up expires ninety (90) days after it is sent.

Restrictions. You may not refer yourself or any email address that already belongs to a Hermo account. Rewards are not redeemable for cash, are non-transferable, and may not be combined with other promotional credits. Rewards apply to the subscription tier you are on at the time the reward is granted.

Anti-abuse. We may withhold or revoke rewards for referrals that we reasonably believe to be fraudulent, automated, made in bad faith, or in breach of these Terms. We may modify or end the referral program at any time, with or without notice, and any unredeemed reward may be reduced or withdrawn as part of those changes.

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by Hermo.ai and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use our Services for your personal or internal business purposes, subject to these Terms.

8. Third-Party Services

Our Services may integrate with or link to third-party services (such as Google). Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party services.

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Hermo.ai and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Services.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hermo.ai and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. You may terminate your account at any time by contacting us or using the account deletion feature if available.

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property, disclaimers, indemnification, and limitations of liability.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hermo.ai regarding your use of the Services and supersede all prior agreements and understandings.
